Zeldrina,

The best structure is a Florida LLC. It protects you against lawsuits, minimizes taxes, and leaves you the options to bring in partners, etc

You might consider Inc'ing in AZ. Only if, it is accepted in FL. Mr, Paschall is probably right thought.

Hi Zeldrina,

There are pros and cons to either an LLC or Incorporating.  You can always start out as an LLC and then switch to Incorporating once your business grows.  The main points are to protect your personal assets from lawsuits and to pay as little taxes (legally) as possible.

Please keep in mind that no business entity is protected against lawsuits.  With a properly strutured LLC or Inc, you can minimize your exposure to losing your personal assets, but not necessarily your business assets.

One site that I have found useful and could provide actual legal advise is: http://www.sutlaw.com/  I have read a couple of books by him and am planning on having his lawfirm setup a couple of LLC businesses for me.

Hope this helps!

Thanks,

John
